Terms & Conditions
These terms apply to all apparel sourcing, sampling, quality control and related services provided by BIWORSOURCING.
1. Services
BIWORSOURCING acts as a registered garment buying house and apparel sourcing agent based in Dhaka, Bangladesh. We represent the buyer, match factories, manage sampling, quality control, compliance documentation and coordinate shipment. We are not the manufacturer unless explicitly stated in a written agreement.
2. Quotations & Orders
All quotations are valid for the period stated on the quote (normally 15–30 days) and are subject to fabric and trim price changes, factory capacity, and compliance requirements. An order is confirmed only after written acceptance, deposit (if required), and approved sample or tech pack.
3. Minimum Order Quantities
MOQs vary by product category and factory. Typical minimums start around 500 pieces per style/colour. Exact MOQs are confirmed on each quotation.
4. Samples & Approvals
Proto, fit, size-set and pre-production samples are charged unless otherwise agreed. Bulk production begins only after written sample approval. Any changes after approval may affect price and lead time.
5. Quality Control
Inline, mid-line and final inspections are carried out to AQL 2.5 (or the standard agreed in writing). Inspection reports are shared with the buyer. Minor defects within agreed tolerance do not constitute grounds for rejection of the full shipment.
6. Lead Times & Force Majeure
Stated lead times are estimates from sample approval and factory booking. Delays caused by force majeure, fabric shortages, compliance audits, customs, or buyer-side changes are outside our control.
7. Payment
Payment terms (deposit, balance, LC, TT, etc.) are stated on the commercial invoice or proforma. Late payment may delay shipment. All bank charges outside Bangladesh are the buyer’s responsibility unless otherwise agreed.
8. Intellectual Property
Buyer designs, tech packs and brand assets remain the buyer’s property. We and our factories will not reuse or disclose them without written consent. Mutual NDAs can be signed before sharing sensitive designs.
9. Limitation of Liability
Our liability is limited to the value of the specific order in question. We are not liable for consequential losses, lost profits, or indirect damages arising from delays, minor quality variations, or third-party actions.
10. Governing Law
These terms are governed by the laws of Bangladesh. Disputes shall first be addressed in good faith; if unresolved, they may be referred to the courts of Dhaka.
